Please read these terms and conditions before using this site. The following terms and conditions control and apply to your use of or reliance on the website maintained by Société de développement des périodiques culturels québécois (SODEP), herein referred to as the "Site". 

By accessing or browsing the Site, you agree that you have read and understood the Terms of Use and agree to be bound by them. Please note that we may change the Terms of Use at any time without notice. Your continued use of the Site will be deemed your acceptance of the revised terms and conditions.

 

1. INTELLECTUAL PROPERTY 

 

All intellectual property on the Site, except for user-generated content as defined below, is owned by us and includes any copyrighted material, trademarks or patents. All trademarks are owned, registered and/or licensed by us. All content on the Site, except for User Generated Content as defined below, including, but not limited to, text, software, code, design, graphics, photos, sounds, music, videos, applications, interactive features and other content, is a collective work under Canadian or other copyright law and is the property of SODEP.

2. USE OF COMPANY CONTENT 

 

We may provide you with certain information because of your use of the Site, including, but not limited to, materials, data or information developed by us, or any other items that may assist you in using the Site or the Services ("Company Content"). The Company Content may not be used for any purpose other than the use of the site and the services offered on the site. Nothing herein shall be construed as conferring any license or intellectual property rights upon you.

 

3. ELECTRONIC COMMUNICATIONS 

 

When you provide SODEP with your email address through the Site, you expressly consent to SODEP retaining your email address in its databases or otherwise using that email address in its mailing lists to contact you to:   

  • validate certain information related to your account.
  • keep you informed of the status of your account on the Site.  
  • conduct surveys or reviews of the Site, including its functionality, usability, and your enjoyment of it.
  • to notify you of any benefits or promotions offered by SODEP.
  • for any other purpose relating to the Site or user safety.

 

4. USER ACCOUNT AND USE OF THE ACCOUNT 

 

The purchase of issues or subscriptions on the SODEP website requires the creation of a user account

  • you are solely responsible for your User Account, for maintaining the confidentiality and security of your User Account and all passwords associated with your User Account, and for the activity of any person who has access to your account with or without your permission.
  • you agree to immediately notify us of any unauthorized use of your user account, services provided through your user account, any password linked to your user account, or any other breach of security of your user account or service provided through your user account, and you agree to assist us, as we may request, to stop or remedy any breach of security related to your account. 
  • you agree to provide true, accurate and current User Information as we may request from time to time, and you agree to notify us of any changes to your User Information as required to keep the information we hold true, accurate and current.
  • you may suspend or terminate your account on the Site for any reason, at your sole discretion and without notice, without liability to SODEP.

 

5. PRICE, BILLING AND PAYMENT 

 

Price: You will pay the price listed in our Terms of Sale, for each good or service, as indicated on the Site. When you make a purchase on the Site, you agree to provide a valid payment option.  

When you provide us with a payment option, you represent that you have permission to use that payment option. When you make a payment, you authorize us and the payment service we use to charge the full amount to the payment option you have designated for the transaction. You also authorize us to collect and record that payment option and any other information related to the transaction. 

Invoice and receipt: SODEP will send you or give you access to the invoice for each purchase made on the site.  

Payment and taxes: When a magazine is to be sent to you by delivery or as a digital product, SODEP will invoice you and require full payment for the goods in the "shopping cart". In the event that you choose in-store pickup, SODEP will invoice you and collect full payment for the goods in the shopping cart. You will only need to pick up your prepaid purchases at our physical store at the appropriate time. 

We reserve the right to cancel any transaction if we believe that it violates these terms and conditions or if we believe that doing so may prevent financial loss.

In order to prevent financial loss, we may contact the issuer of your payment option, law enforcement authorities, or any affected third party (including other users) and may share details of any payment with which you are associated if we believe that such action may prevent financial loss or a violation of the law. Payment for any ongoing service will be billed automatically until you notify us that you wish to terminate the services.

 

6. DELIVERY  

 

SODEP will deliver the goods ordered to you in accordance with the delivery method you have chosen. All delivery times provided are estimated. SODEP shall not be liable for any delay in delivery. 

 

Primary Obligation: SODEP's primary obligation shall be deemed to have been performed if SODEP has attempted to perform it by a later date agreed upon in writing by the parties, or by the date specified in a notice sent to you within a reasonable time but has been prevented from doing so by your actions or negligence.

 

7. SALE OF GOODS AND/OR SERVICES 

 

We can sell goods or services. We are committed to being as accurate as possible with respect to all information about goods and services, including product descriptions and product images. However, we do not guarantee the accuracy or reliability of any product information and you acknowledge and agree that the purchase of such products is at your own risk.

 

8. REFUND AND EXCHANGE TERMS 

 

Refunds for Physical Products: You may request a refund for (non-digital) items that you have purchased. To be eligible for a refund, your item must be unused and in the same condition as you received it. If this is the case, simply email us at info@sodep.qc.ca within 30 days of purchase or before the first issue of your subscription or renewal is sent. 

Exchange: Any damaged product can be exchanged, free of charge, for a new copy. Any product received in error may be exchanged, free of charge, for the copy corresponding to the purchase. In order to exchange a product purchased online on the site, you must write to us at info@sodep.qc.ca. You will need to include a receipt or proof of purchase, as well as a photo of the damaged item, with your email.   

Exception: You understand and agree that these refund and exchange terms and conditions apply only to shipments made through the site or the store ("Maison des revues culturelles"). For back issues, please check the websites of SODEP-affiliated magazine for their return, refund and exchange policies. Final sales (e.g., damaged issues) are also excluded.  

Paid event registrations: It is possible to cancel your attendance at a paid SODEP event. However, no refunds will be given. Only events or activities cancelled or modified by SODEP can be refunded within three weeks. To do so, you must write to us at info@sodep.qc.ca or call us, within our business hours, at the following phone number: (514) 397-8669.  

Refunds for digital products: SODEP does not offer refunds for digital products purchased through the site, apart from products with errors in the file that prevent them from being read. All requests for such refunds must be submitted to SODEP within ten (10) days of purchase.  

Gift Cards: SODEP does not offer refunds or exchanges on the purchase of gift cards.

9. PRODUCTS OR SERVICES  

 

Colors and Images: SODEP has made every effort to display as accurately as possible the colors and images of the products that appear on the Site, but cannot guarantee that the display of a color on your computer screen will be accurate or that the product you receive will be exactly as shown on the SODEP Site. 

Changes to Services and Prices: Prices for our products are subject to change without notice. SODEP reserves the right to modify or discontinue the Services (or any part or content thereof) at any time and without notice. SODEP shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.  

Online and In-Store Availability: For single issue journal purchases: SODEP will mail all issues included in an order.  

For the purchase of subscriptions: SODEP takes care of the mailing of the current or previous issue of a magazine.  For the purchase of the next issue, a notification will be sent to the publisher. SODEP makes every effort to have the quantity of products available for delivery or pick-up in store and to ensure that the products posted on its site are available in a timely manner. If SODEP is unable to meet this commitment, it is obligated to notify its customers as soon as possible.   

Availability of digital files: SODEP cannot guarantee the availability of digital files downloaded from its site. It is the user's sole responsibility to save the files for safekeeping.  

Compatibility: SODEP does not guarantee that goods sold as digital files will be compatible with the device you are using or that the file will remain compatible with, among other things, your playback program and the operating system of your device. SODEP does not provide technical support for uses other than the reading of the digital files purchased on the site. The latter are supported by l’Entrepôt numérique ANEL-De Marque.

Limitations and Discontinuance: SODEP reserves the right, but is not obligated, to limit sales of its products or services to any person, geographic area or jurisdiction. SODEP may exercise this right on a case-by-case basis. We reserve the right to limit quantities of any product or service offered by SODEP. All product descriptions or prices are subject to change at any time without notice, at our sole discretion. SODEP reserves the right to discontinue the sale of any product at any time. SODEP may, in its sole discretion, limit or cancel quantities purchased per person, per household, or per order, including orders placed by or under the same customer account, the same credit card, or orders that use the same billing or shipping address.  

Limitations: SODEP does not warrant that the quality of any product, service, information or other material purchased or obtained by you will meet your expectations or that any errors in the Service will be corrected. User understands that bibliographic information is provided to us by third parties and that SODEP does not guarantee its accuracy and is provided for informational purposes only.

 

10. ACCEPTABLE USE OF THE SITE 

 

You agree not to use the Site for any unlawful purpose or any other purpose prohibited under this clause. You agree not to use the Site in any manner that may adversely affect the Site itself, the Services or the business of SODEP.  

You also agree not to use the Site to: 

  • harass, abuse or threaten others or otherwise violate the rights of any person.
  • infringe the intellectual property of SODEP or any other third party.
  • upload or transmit computer viruses or any other software that may damage the property of SODEP or others. 
  • commit fraud.
  • create or participate in any illegal gambling, lottery or pyramid scheme. 
  • publish or distribute obscene or defamatory material. 
  • publish or distribute any material that incites violence, hatred, or discrimination against any group. 
  • unlawfully collect information about others.

 

11. PROTECTION OF PRIVACY 

 

By using our site, you may provide us with certain information. By using the Site, you authorize us to use your information in Canada and in any country in which we may operate. When you register for a user account, you provide us with a valid email address and you may also provide us with certain additional information, such as your name and/or billing information. Depending on how you use our site, we may also receive information from third-party applications you use to access our site or we may receive information about you through various web technologies such as cookies, logs, web beacons (also known as "clear gifs"), tags and the like. 

 

We use the information we collect from you to help us provide you with a good experience on the Site. We may also track some of the passive, anonymous information we receive to improve our audience analysis, and we may work with third-party vendors to do so. Some pages on the SODEP website require the use of cookies to help users navigate the site more quickly and to deliver content that is of most interest to them. No personal information is stored in these cookies. The use of cookies is standard practice and many popular browsers are initially set to accept them. However, you can set your browser to refuse or disable cookies. If you do so, certain features of our website will no longer be available.

12. REVERSE ENGINEERING AND SECURITY 

 

You may not do any of the following: 

  • reverse engineer or disassemble any code or software on or from this Site; 
  • violate or attempt to violate the security of the Site by any unauthorized access, circumvention of encryption or other security tools, data mining or interference with any host, user or network. 

 

13. DATA LOSS 

 

We are not responsible for the security of your user account or the contents of your account. Use of the Site is at your own risk.

 

14. INDEMNIFICATION 

 

By using the Site, you agree to defend, indemnify and hold harmless SODEP, its agencies and associated partners, and their respective officers, agents, directors, employees, members, licensors from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, liabilities, expenses (including legal fees and disbursements), and settlements arising out of or related to your use of the Site, or your violation of the Terms of Use or the rights of third parties. SODEP may assume the exclusive defense and control of any matter for which you have agreed to indemnify us. You agree to assist and cooperate with SODEP in the defense or settlement of any claim. 

 

15. SPAM POLICY 

 

You are strictly prohibited from using the Site or any services offered on the Site for illegal spamming activities, including collecting addresses and personal information from others or sending mass commercial e-mail.

 

16. HYPERLINKS  

 

The Site may contain hyperlinks to external websites, which will take you away from the SODEP Site. You acknowledge and agree that SODEP is not responsible for the availability of such external websites or for the accuracy of the content, products or services available on such websites. Hyperlinks to external websites do not imply any approval or endorsement of such websites by SODEP. You acknowledge that you assume all risks arising from your use of the External Websites. By using the Site, you expressly release SODEP from any and all liability arising from your use of any External Web Site.   

 

17. INDEPENDENCE OF CLAUSES 

 

If any provision of this Agreement is determined to be unlawful, void, or unenforceable, in whole or in part, the unenforceable portion shall not affect the validity and enforceability of any remaining provisions of this Agreement.

 

18. SERVICE INTERRUPTIONS 

 

We may need to interrupt your access to the Site in order to perform maintenance or unplanned emergency work. You agree that your access to the Site may be affected by unplanned or unanticipated downtime for any reason and that we will not be liable for any damages or losses arising from such downtime. 

 

19. TERMINATION OF USER ACCOUNT 

 

We may suspend, limit or terminate your User Account and your use of the Site at our sole discretion, at any time, without notice, for any reason. Such reasons include: the operation or efficiency of the Site, equipment or network owned by us, or a third party is impaired by your use or misuse of the Site, or if you have been or are currently in violation of the terms hereof. We shall have no liability to any third party, including any third-party provider for any suspension, limitation or termination of your access to the Site.

 

20. LIMITATION OF LIABILITY 

 

While we have made reasonable efforts to ensure that the content of this site is accurate, we cannot guarantee that the content is error-free, up-to-date or complete. Under no circumstances shall we be liable for any damages that may result from an error on the site. 

 

We assume no responsibility for any damages arising from the misuse of the content of the site. Nor can we guarantee that the site will be available without interruption, without error or omission, or that defects will be corrected. Nor can we guarantee that the Site and the servers that make it available are free of viruses or harmful components. The Site and its contents are provided on an "as is" and "as available" basis without representations, warranties or conditions of any kind, either express or implied.

 

If you choose to subscribe to any services or features of the Site, you agree to provide accurate and current information about yourself as required by the applicable registration or subscription process, and to ensure its accuracy by making necessary updates as soon as possible. You agree to maintain the confidentiality of any passwords or other account identifiers which you choose or are assigned at the time of any registration, purchase or subscription on the SODEP site and to accept responsibility for all activities that occur under such passwords or accounts. You further agree to notify us of any unauthorized use of your password or membership account. We shall not be liable, directly or indirectly, for any loss or damage of any kind incurred as a result of or in connection with your failure to comply with this provision.

 

You acknowledge that we may, at our sole and absolute discretion, and without prior notice to you, suspend, cancel or terminate your account, your use of or access to the Site or any of its services, and remove and discard any information or content related to the Site or any of its services (and terminate your use of the Site or any of its services), for any reason, including if we believe that you have violated these Terms. You further agree that we shall not be liable to you or anyone else as a result of any such suspension, cancellation or termination. If you are dissatisfied with SODEP, any of its services, or any of these terms, conditions, rules, policies, guidelines or practices relating to the operation of SODEP or any of its services, your sole recourse is to discontinue using the site or service in question.

 

21. CONFIDENTIALITY 

 

Communications via the Internet are subject to interception, loss or alteration. Accordingly, you acknowledge that information or material which you provide electronically through your access to or usage of this Site is not confidential or proprietary, except as may be required under applicable law, and that unprotected e-mail communication over the Internet is subject to possible interception, alteration or loss.

22. LIMITATION OF LIABILITY 

 

You acknowledge and agree that you bear all risk arising from your access to or use of the Site, whether such use is lawful or unlawful. To the fullest extent permitted by applicable law, under no circumstances shall SODEP, its members, directors, employees, and licensors (collectively, the "Related Persons") be liable for damages of any kind, including, without limitation, loss of use, loss of profits or loss of data, whether in an action of contract, tort or otherwise, arising directly or indirectly out of or in connection with the use of the Site, or otherwise, arising directly or indirectly from the use or performance of the Platform, including any damages caused by or resulting from a User's reliance on any information obtained through the Platforms, or resulting from any error, omission, interruption, deletion of files or emails, defects, viruses, delays in operation or transmission or any failure of performance. 

 

No Liability for Third Parties: To the extent permitted by law, SODEP and its Affiliates disclaim all liability for the acts, omissions or conduct of any third-party user of the Platform and its Services and shall not be liable for any loss, damage or expense arising in any way from the acts, omissions or conduct of any third party user of the Platform and its Services;
